Scope of Application

These Terms and Conditions govern all digital marketing services provided by USA One Digital, including but not limited to Amazon advertising management, Google Ads campaigns, Google My Business optimization, custom mobile app development, website design, SEO services, and related digital marketing solutions. By engaging our services, you agree to be bound by these terms.

These terms apply to all clients, regardless of service package selected, project scope, or contract duration. All agreements, proposals, and service contracts are subject to these terms and conditions unless explicitly modified in writing and signed by both parties. Any modifications or amendments must be documented and agreed upon by authorized representatives of both USA One Digital and the client.

Our services are provided exclusively to businesses and commercial entities. We reserve the right to refuse service to any potential client at our discretion. These terms remain in effect throughout the duration of our business relationship and survive termination of services where applicable.

Privacy Policy

USA One Digital is committed to protecting your privacy and maintaining the confidentiality of all client information. We collect and store only the information necessary to provide our digital marketing services effectively, including but not limited to business contact information, website analytics access, advertising account credentials, and performance data.

All client data is stored securely using industry-standard encryption and security protocols. We will never sell, rent, or share your confidential business information with third parties without your explicit written consent, except as required by law or as necessary to provide the contracted services. This includes protecting sensitive information such as advertising budgets, revenue data, customer lists, and proprietary business strategies.

Access to client accounts and platforms (such as Google Ads, Amazon Seller Central, or website analytics) is limited to authorized team members directly involved in your campaigns. All team members sign confidentiality agreements and receive regular training on data protection and privacy best practices. We maintain detailed access logs and regularly review permissions to ensure data security.

Upon termination of services, we will transfer all applicable account access back to the client within 30 days and securely delete confidential information from our systems within 90 days, unless otherwise required for legal or accounting purposes. Clients may request data deletion at any time during or after the service period.

Limitation of Liability

USA One Digital's liability for any claims arising from our digital marketing services is limited to the total amount paid by the client for services in the twelve (12) months preceding the claim. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption.

While we strive to achieve the best possible results for all clients, digital marketing outcomes depend on numerous factors beyond our control, including market conditions, competition, platform algorithm changes, and client cooperation. We make no guarantees regarding specific results, rankings, traffic increases, or revenue improvements, though we commit to using industry best practices and proven strategies.

USA One Digital is not responsible for any actions taken by third-party platforms (Google, Amazon, Facebook, etc.) that may affect campaign performance, including account suspensions, policy changes, or algorithm updates. We will work diligently to resolve any platform-related issues but cannot be held liable for platform decisions outside our control.

Clients are responsible for providing accurate information, timely feedback, and necessary access to accounts and systems. Delays or poor results caused by incomplete information, delayed approvals, or restricted access are not the responsibility of USA One Digital. We reserve the right to pause services if client cooperation is insufficient to perform contracted work effectively.

Payment Terms

All invoices are due within thirty (30) days of the invoice date unless otherwise specified in the service agreement. Late payments may incur a 1.5% monthly service charge and may result in suspension of services until payment is received. We accept payment by check, ACH transfer, or major credit cards.

Setup fees, if applicable, are due upon contract signing before work commences. Monthly retainer fees are billed in advance and cover the upcoming service period. Additional services or expenses outside the agreed scope will be billed separately with prior client approval, except for minor expenses under $100 that directly support campaign performance.

In cases of disputed charges, clients must notify us in writing within fifteen (15) days of the invoice date. We will investigate all disputes promptly and adjust billing as appropriate. However, undisputed portions of invoices remain due by the original payment date.

Refunds are not provided for completed work or services already rendered. In cases where services are terminated early, clients remain responsible for all work completed through the termination date plus any outstanding expenses or commitments made on their behalf.

Service Performance and Client Responsibilities

USA One Digital commits to performing all contracted services with professional expertise and industry best practices. Our team maintains current certifications and stays updated on platform changes, algorithm updates, and digital marketing trends to provide the highest quality service.

Clients are responsible for providing timely access to necessary accounts, platforms, and information required for service delivery. This includes website admin access, advertising account permissions, analytics accounts, and any other systems necessary for campaign management and optimization.

Response times for client communications will typically be within one (1) business day for urgent matters and within three (3) business days for routine communications. Clients should provide feedback and approvals within the time frames specified in project timelines to avoid delays.

All creative materials, ad copy, and website content must comply with applicable platform policies and legal requirements. While we provide guidance on compliance, clients are ultimately responsible for ensuring their products, services, and marketing claims meet all regulatory requirements in their industry and target markets.

Intellectual Property and Work Product

All original creative work, strategies, and materials developed specifically for client campaigns become the property of the client upon full payment of associated fees. This includes custom graphics, ad copy, website content, and campaign strategies developed exclusively for the client's use.

USA One Digital retains ownership of proprietary tools, methodologies, templates, and general knowledge developed through our service delivery. We reserve the right to use general insights and non-confidential learning from client campaigns to improve our services for other clients.

Clients grant USA One Digital permission to use their business name and general campaign results (without revealing confidential information) in case studies, testimonials, and marketing materials. Specific performance metrics or sensitive business information will only be shared with explicit written permission.

Any pre-existing intellectual property owned by either party remains the property of the original owner. Clients are responsible for ensuring they have proper rights to any materials, images, or content they provide for use in marketing campaigns.

Termination and Contract Cancellation

Either party may terminate services with thirty (30) days written notice. USA One Digital reserves the right to terminate services immediately for non-payment, breach of contract, or unethical business practices by the client.

Upon termination, USA One Digital will complete all work in progress that can reasonably be finished within the notice period. Clients remain responsible for all fees through the termination date plus any outstanding expenses or commitments made on their behalf.

All account access will be transferred back to the client within thirty (30) days of termination. We will provide reasonable assistance during the transition period to ensure continuity of campaigns, though additional consulting fees may apply for extensive transition support.

Certain long-term commitments such as website hosting, software licenses, or advertising contracts may extend beyond the service termination date. Clients will be notified of any ongoing obligations and may choose to assume these directly or request USA One Digital to manage the cancellation process.

Customer Support

USA One Digital provides comprehensive customer support during standard business hours (Monday through Friday, 9 AM to 6 PM Central Time). We offer multiple communication channels including phone, email, and scheduled video conferences to ensure clients receive timely assistance and regular updates.

Emergency support is available for critical issues that significantly impact campaign performance or website functionality. Emergency situations include website outages, major advertising account suspensions, or time-sensitive opportunities requiring immediate attention.

Regular reporting and communication schedules are established for each client based on their service package and preferences. This typically includes monthly performance reports, weekly update calls for active campaigns, and quarterly strategy reviews to ensure alignment with business objectives.

We maintain a client portal where applicable, providing 24/7 access to campaign reports, project status updates, and historical performance data. Training on portal access and navigation is provided during the onboarding process, with ongoing support available as needed.

Our support team is trained to handle both technical questions and strategic discussions, ensuring clients receive comprehensive assistance whether they need help understanding reports, discussing campaign optimizations, or exploring new opportunities for business growth.
